PRICES
Prices are firm for 15 days from the date of this proposal, provided completion can be accomplished within manufacturer’s current delivery cycle.
Prices quoted do not include any sales, use or excise taxes imposed by any governmental body. Such taxes will be added to the invoice at time of billing. Buyers who are exempt from taxes shall provide the seller with copies of exemption certifications upon acceptance of this proposal.
CANCELLATIONS
This is a special order – therefore, no cancellations or returns are allowed after the order has been placed with the manufacturer.
CHANGES IN REQUIREMENTS
Our order confirmation is final and binding and any subsequent changes are subject to our ability to conform and is dependent upon factory approval. Changes in quantity or specifications are subject to approval by seller and manufacturer. Resultant charges from manufacturer shall be borne by the buyer. All requests for changes in quantity or specifications shall be delivered to seller in writing.
DELIVERY AND INSTALLATION
In the event that delivery and/or installation is required as a part of the proposal, the following provisions shall apply:
1. CONDITION OF JOB SITE – The job site shall be clean, clear and free of debris prior to installation.
2. JOB SITE SERVICES – Electric current, heat hoisting and/or elevator service will be furnished without charge to seller. Adequate facilities for off-loading, staging, moving, and handling merchandise shall be provided.
3. DELIVERY DURING NORMAL BUSINESS HOURS – Delivery and installation will be made during normal working hours. Additional labor costs resulting from overtime work performed at buyer’s request will be passed on to the buyer.
4. ERECTION AND ASSEMBLY – Seller’s ability to erect or assemble furniture shipped knocked-down or to permanently attach, affix, or bolt in place movable furniture is dependent on jurisdictional agreements between trade unions at the job site. If trade regulations enforced at the time of installation require on-site tradesman to complete the installation, the cost will be additional. Delivery of unusual items requiring special handling such as insulated files, etc., shall be charged to purchaser at applicable commercial rates for such handling.
5. PROTECTION OF DELIVERED GOODS – Furnishings delivered and brought onto the job site as scheduled shall be inspected and conditionally accepted by the customer. The responsibility for the security and safeguarding of the delivered furnishings shall at that time pass to the buyer.
DELAYS
In the event that construction delays or other causes not within our control force postponement of the installation, we will store the furnishings until installation can be resumed. Transfer and storage charges incurred shall be passed on to the buyer.
GENERAL LIABILITY
No liability shall accrue against the seller as a result of any breach of these terms and conditions resulting from any strike, lockout, work stoppage, accident, Act of God, or other delay beyond the seller’s control.
PAYMENT TERMS
Terms of sale are cash, check or major credit card for full amount of purchase prior to delivery, as our drivers cannot accept C.O.D. payments. With approved credit you may establish an OEC account with terms of net 20 days from date of invoice. A monthly service charge of 1.5% per month (18% per annum) will apply to all delinquent payments and will be added to the balance outstanding on OEC charge accounts.
A deposit of 50% is required with all orders. Orders including COM fabric will have the cost of the COM fabric invoiced to the buyer at the time the COM fabric is shipped to the chair manufacturer. Partial deliveries are to be paid for upon presentation of invoice covering each partial shipment. Furniture and equipment ordered to be delivered by a specific date and ready for delivery will be billed on the date specified should delivery be delayed through no fault of the seller, with the full amount of the invoice becoming due and payable immediately, or in the event of an OEC charge account it will become due and payable within 20 days of the invoice date.
Terms and conditions as set forth herein may be altered only upon approval of both the buyer and the seller. By acceptance of this agreement, buyer acknowledges receipt of a duly executed duplicate copy of this agreement.
